Publisher Commercial Redistribution Addendum
Effective 2026-05-24. This addendum supplements the Publisher Agreement between TrueSpec (Sopko Technologies, LLC) and the Publisher. It only takes effect when the Publisher opts in through the portal; opting out at any time ends it prospectively.
1. Purpose
The standard Publisher Agreement (§ 6(b)) authorizes us to sublicense your Content to Consumers you authorize for display on their own properties. This addendum adds an explicit authorization for us to also sublicense your Authorized Content to Commercial Redistribution licensees — ERPs, e-commerce platforms, and other partners who incorporate Content into products they provide to their own end users under a separate written Commercial Redistribution License with us.
2. What you're authorizing
By opting in you authorize us, on a non-exclusive, royalty-free, sublicensable basis, to make your Content available to Commercial Redistribution licensees and to permit those licensees to incorporate your Content into their Commercial Offerings and serve it to their end users, strictly within the scope described in the Commercial Redistribution License.
You retain all the rights and reservations of the Publisher Agreement, including authority to revoke or withhold any specific Content and to terminate this addendum.
3. Why we ask for an explicit opt-in
The standard Consumer Agreement explicitly excludes commercial redistribution (its § 4(d)). For our partners to legitimately incorporate your Content into their products they need a license chain that begins with you. Without this opt-in we cannot extend that chain.
4. Opt-out
You may opt out at any time from the portal. After opt-out:
- New Commercial Redistribution traffic to your Content stops at our /v1/ surface;
- Copies already distributed to licensees' end users are outside our practical control and the parties acknowledge this in the Commercial Redistribution License;
- The standard (free) display path is unaffected by this addendum and continues under the Publisher Agreement.
5. No additional warranties or fees
This addendum does not change the warranties, indemnities, or fees in the Publisher Agreement. Commercial revenue arrangements, if any, are negotiated separately.
6. General
Capitalized terms have the meanings given in the Publisher Agreement. If anything in this addendum conflicts with the Publisher Agreement, the Publisher Agreement controls except as expressly extended here.
