TrueSpec Consumer Agreement
Effective 2026-05-24. This agreement is between TrueSpec (Sopko Technologies, LLC, "TrueSpec," "we," "us") and the party accessing product data through the Platform ("Consumer," "you"). Plain English on purpose. This document is provided as-is and is not legal advice.
By using an API key or otherwise accessing Content through the Platform, you accept this Agreement on behalf of your company and confirm you're authorized to do so.
1. Definitions
- Platform — the TrueSpec service at truespec.net, including the API.
- Content — the product data, descriptions, specifications, dimensions, images, and other materials made available through the Platform by Publishers.
- Publisher — a party that publishes Content on the Platform.
- API — the versioned read interface (e.g.
/v1/) through which you retrieve Content. - API Key — the credential issued to you to access the API.
- Grant — a Publisher's authorization for you to access its Content.
- Your Properties — your own websites, applications, and internal systems (e.g. your ERP or online store) operated for your own business.
2. How access works
You access Content through an API Key, scoped to the Grants Publishers have given you. You may access only the Content a Publisher has authorized for you. We mediate that access on the Publisher's behalf; the Publisher decides what you may see and may revoke it.
3. The license you receive
TrueSpec, on behalf of each granting Publisher, grants you a limited, non-exclusive, non-transferable, revocable license to access the Content made available to you and to display it on Your Properties for your own legitimate business use, strictly within the scope the granting Publisher authorized. No other rights are granted, expressly or by implication.
4. Restrictions
This section is the core of the deal. You may not:
(a) extract, scrape, or bulk-download Content beyond ordinary API use, or assemble a standalone or substitute copy of any Publisher's Catalog; (b) redistribute, resell, sublicense, syndicate, or otherwise provide Content to any third party — the one thing you may do is display it to your own end customers on Your Properties; (c) re-publish or re-serve, through TrueSpec or any other service, any Content you obtained as a Consumer — including holding yourself out as a source or "authoritative" record for data you merely consumed. (Consuming Content does not make you a Publisher of it.) (d) use the Content to build, train, power, or supply any product or service you sell, license, or provide to others — for example embedding the API or the Content into commercial software, a platform, or an ERP offering provided to third parties — without a separate written Commercial Redistribution License from us; (e) share, sell, publish, or expose your API Key; exceed applicable rate limits; or circumvent metering, authentication, or access controls; (f) reverse engineer the Platform, use it unlawfully, or misrepresent the source or accuracy of Content.
Your use must stay within each granting Publisher's authorization. If a Publisher revokes your Grant, your right to that Publisher's Content ends immediately.
Note on (c) and (d): these mirror the Publisher Agreement. A distributor is free to publish data it owns or independently sourced (as a Derived Publisher under that agreement) — what it may not do is take Content it consumed here and re-serve it as its own. Same boundary, viewed from the consumer side.
5. API keys
Keep your API Key secret. You are responsible for all activity under it. We may revoke or rate-limit keys to protect the Platform, investigate abuse, or enforce this Agreement.
6. Ownership
Publishers own their Content; we own the Platform. You receive no ownership of either — only the limited license in Section 3.
7. Accuracy and authority
Content originates from Publishers. We do not author, verify, or warrant the accuracy or completeness of any Content. Where the Platform labels a record as authoritative or derived, that indicator is provided as-is to help you decide what to rely on; it is not our warranty of the underlying data. Verify Content before relying on it for any consequential or commercial purpose.
8. Your representations and warranties
You represent and warrant that you have authority to enter this Agreement, that your use is lawful, and that you will stay within the scope of your Grants and the restrictions in Section 4.
9. Indemnification
You will defend, indemnify, and hold TrueSpec (and, where applicable, the relevant Publisher) harmless from third-party claims arising out of your use of the Content, your breach of this Agreement, or your display or distribution of Content beyond the license granted.
10. Disclaimers
The Platform and all Content are provided "as is." We disclaim implied warranties, including merchantability and fitness for a particular purpose, to the fullest extent the law allows.
11. Limitation of liability
Neither party is liable for indirect, incidental, or consequential damages. Our total liability is capped at the greater of the fees you paid us in the 12 months before the claim or $500.
12. Fees
Standard display access is currently free. A Commercial Redistribution License (Section 4(d)) is priced separately. We may introduce fees on reasonable notice. Your API usage is metered.
13. Term, termination, and what happens to the data
We or a granting Publisher may suspend or terminate your access at any time, and you may stop using the Platform at any time. On termination of your access to any Content, you must stop accessing it and delete stored copies within 30 days. Copies already displayed or cached on Your Properties are your responsibility to remove. Sections that by their nature should survive termination (ownership, restrictions, disclaimers, liability, indemnity) survive.
14. Privacy
Personal data of your account users is handled under our Privacy Policy.
15. Changes to this Agreement
We may update this Agreement on notice, with 30 days' notice for material changes. Continued use after changes take effect is acceptance.
16. Governing law
This Agreement is governed by the laws of Pennsylvania, with exclusive venue in Westmoreland County, Pennsylvania.
17. General
This is the entire agreement between us on its subject. If any provision is unenforceable, the rest stands. No waiver is implied by delay. You may not assign this Agreement without our consent; we may assign it in a merger or sale. Notices go to your account email.
